The Herbert H. Carnegie Future Aces Foundation seeks Directors with:

  1.  A desire to help youth, including disadvantaged youth, to succeed in life.
  2.  A strong interest in helping to improve student outcomes in elementary and secondary schools.
  3.  A willingness to become involved in fundraising.
  4. Several years’ experience in one or more of the following:
    • Managing projects or business lines with five or more people
    • Leadership positions in education (i.e. Principal, Vice-Principal,
      Superintendent) or youth programming
    • Giving professional advice (outside professional or internal staff) in one or
      more of the following areas
      1. Corporate/commercial law
      2. Marketing/media
      3. IT (knowledge of digital platforms and virtual operations especially
        useful)
      4. Communications/public relations
      5. Business strategy
      6. HR
    • Decision-making at the Executive level
  5. Preferably also board experience (non-profit or business corporations boards)

Board of Directors Responsibilities

  • Support and advance the organization’s mission/purpose and values.
  • Assure the organization has a plan for providing services.
  • Assure the organization has adequate resources to support its mission and services.
  • Support and evaluate the work of the Executive Director.
  • Approve the annual budget.
  • Assure that the organization has the policies and controls to manage its money well.
  • Actively advocate for the organization and its clients.
  • Keep to, and support, the ethical and legal standards, and the organizational values.
  • Assure the Board is the best it can be by recruiting Board members who have the skills the Board needs, and by conducting a regular Board self-assessment process.
  • Directors are expected to use due diligence in reviewing and approving financial and legal documents, as well as board meeting documents
  • Directors provide proper financial oversight by reviewing financial statements, ensuring proper financial controls are in place, and regularly review spending and organizational accounts.
  • Directors are expected to enhance our public standing by actively promoting our mission and accomplishments to the public, and by means of personal contacts, assist in the cultivation of partnerships.
  • Directors are responsible for recruiting new board members, assessing board performance, and are required to contribute to a respectful and positive board environment through consensus and respectful discussion.
  • Directors are asked to serve in an executive role (treasurer, secretary, chair, or vice-chair) or standing committee, as needed.

Individual Board Member Responsibilities

  • Attend all board (scheduled monthly, with possible exceptions) and assigned committee meetings, and organizational events.
  • Review the agenda and meeting materials before the Board or committee meetings and be prepared to engage in dialogue and decision making.
  • Stay informed about the organization’s progress, policies and programs.
  • Inform others about the organization.
  • Follow board policies including those related to conflict of interest and confidentiality.
  • Recognize that differences of opinion will arise between board members, but once the Board has made a decision, each board member needs to accept and support the decision.
  • Serve as a board member for one year minimum.
  • Each Director is responsible for good governance and management of the foundation as described in our governance documents.
  • Act with the highest degree of integrity and ethical behaviour in working with senior staff in annual planning sessions to ensure financial and operational goals are set.

Approximate time commitment: 4-10 hrs/month
